Terms of Service
IMPORTANT NOTICE ABOUT CLICK TO PAY AND YOUR VISA CARDS. Your Visa cards are enabled with Click to Pay either (i) as a standard feature of your Visa card made available to you and managed by your card issuer (Issuer-enabled Click to Pay); or (ii) directly through Visa (Visa-enabled Click to Pay).
- Issuer-enabled Click to Pay. Where your cards are enabled with Click to Pay as a standard card feature by your card issuer, these terms of service ("Terms") DO NOT APPLY to your access to and use of such cards in connection with Click to Pay and your acceptance of these Terms does not create any agreement of any kind between you and Visa; and (ii) such access and/or use is governed solely by your issuer's terms and conditions. If you nevertheless provide information to Visa to register these Visa cards, Visa will share that information with your Visa card issuer(s) to facilitate Issuer-enabled Click to Pay.
- Visa-enabled Click to Pay. Where your Visa cards are enabled with Click to Pay through Visa, these Terms DO APPLY and form a legally binding and enforceable agreement between you and Visa – please read them carefully. If you are a resident of an Eligible Jurisdiction identified in Section 12, the jurisdiction-specific provisions stated in that Section additionally apply to you.
YOU DEMONSTRATE YOUR ACCEPTANCE OF THESE TERMS: (i) by affirmatively accepting them on a Visa or third-party application or website, for example, as part of a merchant checkout flow; (ii) by accessing or using your Eligible Card(s) in connection with Click to Pay; or (iii) to the extent permissible under applicable law, in accordance with acceptance methods prescribed by Visa. You acknowledge and agree that these Terms govern your access to or use of your Eligible Card(s) in connection with Click to Pay. These Terms replace all prior terms you may have agreed to in respect of such access and use. These Terms are effective as of the time of your acceptance of these Terms in accordance with the acceptance method prescribed by Visa until such access and/or use is terminated in accordance with these Terms. Your Eligible Cards are enabled for Click to Pay free of charge.
1. HOW IT WORKS. For Eligible Cards, Visa stores your Card Details and may replace your payment account number and other sensitive information with a unique identifier (a token) to help secure and protect them. Your Card Details (usually in the form of a token) are transmitted to merchants, digital wallets, payment networks/schemes and/or applicable third parties to allow them to display your list of Eligible Cards to you ("Card List") and process your transaction on an Eligible Card you select. "Card Details" means the payment account and other related information such as your name, email address, mobile phone number, and billing and delivery addresses for Eligible Cards.
2. ELIGIBLE CARDS. Visa may automatically update your Card List at any time. To help keep your Card List and Card Details up-to-date, Visa may also update certain Card Details, such as payment account number and expiry date, when this information becomes available to Visa through the financial institution, or as applicable, payment institution, that issued your Eligible Card ("Issuer"). You may modify which of your Eligible Cards are enabled with Click to Pay through the Portal at any time. "Eligible Cards" means any Visa credit, debit and reloadable prepaid cards, as well as other cards or payment methods, that Visa deems eligible for use with Click to Pay. Visa may revise the eligibility criteria at any time and may remove cards from eligibility or prevent their enablement as deemed necessary. "Portal" means the website, mobile site, domain, subdomain and/or web-based platform provided by Visa to offer information and management tools to holders of Eligible Cards.
3. ELIGIBLE CARDHOLDERS. You may only access or use Visa's Click to Pay if you are the cardholder or authorised user of the Eligible Card(s) and a resident of a jurisdiction specified in the Eligible Jurisdiction List (each jurisdiction listed being an "Eligible Jurisdiction"). Within the Eligible Jurisdiction List, each Eligible Jurisdiction is assigned to a "Visa Region". Access to or use of your Eligible Cards in connection with Click to Pay from any location where it is illegal or otherwise restricted is prohibited.
4. VERIFICATION. When you enable, access and/or use an Eligible Card, you may be required to provide your valid email address and/or mobile phone number. You agree Visa may send a one-time passcode (OTP) to your email and/or mobile phone number to verify your identity and that the Portal account, device and/or browser being used to access and/or use your Eligible Cards with Click to Pay belongs to you.
Visa may use information about the devices you use to access your Eligible Cards in connection with Click to Pay to verify you and create a trusted link between those devices and your Eligible Cards. You may also choose to use capabilities on your personal device such as fingerprints, face authentication and/or your device passcode ("Passkeys") to access or use your Eligible Cards in connection with Click to Pay. Your use of Passkeys is governed by the terms and conditions and privacy notices of your device manufacturer. Your fingerprints, face authentication data and/or device passcode do not leave your device. You may choose whether to use Passkeys in connection with your Eligible Cards and Click to Pay, and you may disable such use by unlinking your Eligible Card or removing your device through the Portal or such other website as made available and communicated by Visa. Your use of Visa Payment Passkeys in connection with your Eligible Cards and Click to Pay will be made available as part of, and governed by separate Visa Payment Passkeys terms and conditions.
If you use Passkeys or choose to be remembered on your device or browser, you are solely responsible for maintaining the security of such devices or browsers. Visa is not responsible to any person for any unauthorised use of your Eligible Card, Click to Pay, Portal account, devices or browsers.
5. PRIVACY. Visa processes your personal information as necessary to permit you to enable, access and/or use Click to Pay with your Eligible Cards (as agreed in these Terms), and for related purposes described in the Visa Global Privacy Notice ("Privacy Notice"). The Privacy Notice may be updated from time to time.
If you enable Click to Pay for your Eligible Cards through the Portal or during checkout with some merchants, Visa uses Google's Maps product to help you select your address. To the extent that Google processes your personal information, it does this in accordance with its Google terms of service and Google privacy policy.
6. TRANSACTIONS MADE USING CLICK TO PAY. Visa is not a bank or a card issuer. Payment for your bank account or bank card is solely between you and the Issuer. Visa is not a party to the transactions made using Click to Pay. If you have a dispute with a merchant or your Issuer about a transaction made using Click to Pay, including the purchase, return or non-receipt of goods or services, you are solely responsible for settling the dispute with the merchant or your Issuer. Visa is not responsible for any such transactions or any actions or inactions of merchants, Issuers, other payment networks/schemes or third parties that may facilitate your checkout experience.
7. CARDHOLDER AGREEMENTS. These Terms do not amend or otherwise modify any agreement you have with your Issuer in respect of an Eligible Card ("Cardholder Agreement"). You are solely responsible for complying with your Cardholder Agreement. For questions regarding your Cardholder Agreement, please contact your Issuer.
8. PROPRIETARY RIGHTS. All content, features and functionality provided by Visa under these Terms, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software and any other materials (collectively referred to as "Content"), are the property of Visa, its affiliates, and their licensors. No licences, rights, title or interest in or to the Content is/are granted to you. If you submit suggestions or other feedback about Click to Pay or other products or solutions, we may use your suggestions or feedback without obligation to you. The Click to Pay icon () is a trademark owned by and used with permission of EMVCo, LLC.
9. WARRANTIES AND LIABILITY. Visa's services under these Terms are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties of any kind, including warranties of title, implied warranties of merchantability or fitness for a particular purpose. Visa is not liable for any damages arising from your use of our services, including but not limited to transaction failures, disputes with merchants, errors, outages or unauthorised access. Visa's services may not be free of interruptions. Visa's cumulative liability to you under these Terms is limited to the lesser of your actual loss and $100 USD (or equivalent in your local currency). Nothing in these Terms excludes or limits liability for death, personal injury, fraud or any other matter that cannot be legally limited or excluded. The law of your Eligible Jurisdiction may not allow the limitation or exclusion of liability described in this Section, so they may not apply to you. In such instances, Visa's liability will be limited to the fullest extent permitted by the law of your Eligible Jurisdiction.
10. TERMINATION AND MODIFICATION.
10.1. You may terminate your complete or partial participation under these Terms at any time by unenrolling your Eligible Cards through the Portal.
10.2. Visa may terminate, change, modify, suspend, enhance or discontinue any or all aspects of Click to Pay either temporarily or permanently, at any time, with or without prior notice to you. Additionally, Visa may suspend, discontinue, or terminate your access to, or use of, any or all Eligible Cards in connection with Click to Pay at any time, with or without notice. You acknowledge and agree that Visa shall not be liable to you or any third party for any actions taken in accordance with this Section.
10.3. Visa may update these Terms at any time by posting a new version on the Portal, which will take effect immediately or, if applicable, after providing what we consider reasonable notice or as otherwise required by applicable law. You can identify the most recent updates by checking the "Last Updated" date at the end of these Terms. To the fullest extent allowed by applicable law, your continued access and/or use of your Eligible Cards with Click to Pay after any modifications indicates your acceptance of the Terms as updated.
10.4. Any Section of these Terms that, by their nature, should survive termination shall so survive any termination of these Terms, including without limitation, Section 11.1.
11. GENERAL.
11.1. Visa Contracting Entity; Governing Law; Dispute Resolution. The table below establishes the Visa Contracting Entity, governing law and dispute resolution terms that apply to you under these Terms, as determined by the Visa Region assigned to your Eligible Jurisdiction. For more information on which Visa Region your Eligible Jurisdiction is in, see the Eligible Jurisdiction List. "Visa Contracting Entity" means the entity that entered into these Terms with you. References to "Visa" in these Terms are construed to refer to your Visa Contracting Entity.
11.2. Indemnity. To the extent permitted under applicable law, you agree to indemnify and hold harmless Visa and its affiliates from any loss, liability, claim, or demand, damages, fines and costs, due to, in connection with or arising out of your breach of these Terms.
11.3. Notices. You agree that Visa may provide you with notices, disclosures and other communications in connection with these Terms by text message (SMS), email, posting on the Portal or other forms of electronic communications and that these electronic communications constitute communications "in writing". Unless otherwise required by applicable law, electronic communications are considered to be received on the date they are sent and no paper (hard) copies will be provided. You are responsible for any message or data rates that may apply.
11.4. Assignment. You may not assign your rights, novate your obligations or otherwise transfer your rights and/or obligations under these Terms, by operation of law or otherwise, without Visa's prior written consent. Visa reserves the right to assign its rights, novate its obligations or otherwise transfer its rights and/or obligations under these Terms to any Visa affiliate or any third party without notice to or consent from you.
11.5. Translations and Prevailing Language. Where any translation of these Terms is made available to you in any language other than English, the prevailing language of these Terms is English and any dispute arising from these Terms will be settled to the extent permitted by applicable law based on the English version of these Terms. This Section shall not apply if you are a resident of the "Europe Region", as described in the Eligible Jurisdiction List.
11.6. Entire Agreement; Severability. These Terms constitute the entire agreement between Visa and you with respect to your use of Eligible Cards with Click to Pay. Our failure or delay to exercise or enforce any provision or right contained in these Terms shall not be deemed a waiver of such provision or right. You and Visa agree that if any provision of these Terms is deemed unlawful, void (including by virtue of law) or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
11.7. Questions or Concerns. If you have any questions or concerns about the services Visa provides you under these Terms, please visit our Frequently Asked Questions ("FAQs") accessible through the Portal. If the FAQs do not address your questions or concerns, you can contact Visa via email or telephone through the links provided on the FAQ page or the Eligible Jurisdiction List.
12. Eligible Jurisdiction-specific Terms. The following terms apply only to residents of the Eligible Jurisdiction specified:

Residents of Argentina only. Consumer protection regulations provide that legal entities that market, sell, or provide services to consumers or users within the City of Buenos Aires and have an internet page, should include a link to the "Dirección General de Defensa y Protección al Consumidor". Please contact the "Dirección General de Defensa y Protección al Consumidor" for questions and complaints.

The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:

Visa may revise the eligibility criteria at any time and may remove cards from eligibility or prevent their enablement as deemed necessary. "Portal" means the website, mobile site, domain, subdomain and/or web-based platform provided by Visa to offer information and management tools to holders of Eligible Cards.
5. PRIVACY. Visa processes your personal information as necessary to permit you to enable, access and/or use Click to Pay with your Eligible Cards (as agreed in these Terms), and for compatible purposes described in the Visa Global Privacy Notice ("Privacy Notice"). The Privacy Notice may be updated from time to time.
If you enable Click to Pay for your Eligible Cards through the Portal or during checkout with some merchants, Visa uses Google's Maps product to help you select your address. To the extent that Google processes your personal information, it does this in accordance with its Google terms of service and Google privacy policy.
If you use other services operated by your Issuer, a merchant or any other third party (including where those services are available using Click to Pay), separate privacy notices may apply.
9. WARRANTIES AND LIABILITY. Visa's services under these Terms are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties of any kind, including warranties of title, implied warranties of merchantability or fitness for a particular purpose. Visa is not liable for any damages arising from your use of our services, including but not limited to transaction failures, disputes with merchants, errors, outages or unauthorised access. Visa's services may not be free of interruptions. Visa's cumulative liability to you under these Terms is limited to the lesser of your actual loss and $100 USD (or equivalent in your local currency). Nothing in these Terms excludes or limits liability for death, personal injury, fraud or any other matter that cannot be legally limited or excluded. The law of your Eligible Jurisdiction may not allow the limitation or exclusion of liability described in this Section, so they may not apply to you. In such instances, Visa's liability will be limited to the fullest extent permitted by the law of your Eligible Jurisdiction. Visa's liability for damages (schäden) caused by slight negligence (leichte Fahrlässigkeit) shall be excluded. The aforesaid limitations of liability shall not apply to any mandatory statutory liability, in particular to liability arising from warranty claims (Gewährleistungsansprüche), claims under the Austrian Product Liability Act (Produkthaftungsgesetz) and liability for personal injuries (Personenschäden). In addition, the limitation of liability shall not apply if and to the extent that Visa has assumed a specific guarantee or a specific obligation in relation to the matter giving rise to such liability.
10. TERMINATION AND MODIFICATION
10.1. Click to Pay is available for an indefinite period of time until it is terminated by you or Visa at any time in accordance with the below, which includes your withdrawal rights under applicable law.
10.2. You may terminate your complete or partial participation under these Terms or your use of Click to Pay at any time by unenrolling your Eligible Cards through the Portal.
10.3. Visa may terminate the agreement constituted by these Terms regarding any or all aspects of Click to Pay by providing you with a minimum of fourteen (14) days' prior written notice via email. Visa may, in its sole discretion, make improvements to any or all aspects of Click to Pay. Visa may suspend, discontinue or terminate your access to or use of Click to Pay at any time, immediately and without prior notice or obligation to you, if you violate any of these Terms. Upon termination, you remain liable for all payments and other obligations you have incurred under these Terms.
11.1. Visa Contracting Entity; Governing Law; Dispute Resolution. The table below establishes the Visa Contracting Entity, Governing Law, and Dispute Resolution terms that apply to you under these Terms, as determined by your Eligible Jurisdiction. "Visa Contracting Entity" means the entity that entered into these Terms with you. References to "Visa" in these Terms are construed to refer to your Visa Contracting Entity.
11.2. Indemnity. To the extent permitted under applicable law, you agree to indemnify and hold harmless Visa and its affiliates from any loss, liability, claim, or demand, damages, fines and costs, due to, in connection with or arising out of your culpable breach of these Terms.
11.4. Assignment. This Section doesn't apply to you."

The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"10. TERMINATION AND MODIFICATION
10.1. Visa may, in its sole discretion, change or modify these Terms and/or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where a change benefits you including without limitation the introduction of additional functionality, security and technical enhancements, bug fixes, enhancing resilience, improving the performance of Click to Pay, improving the user flow and the removal of certain features which no longer add value to consumers;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it; and/or
- where the change is not material.
10.2. For any other modification to the Terms and/or Click to Pay, Visa shall notify you of such change a minimum of one (1) month in advance of such change taking effect. If you do not wish to accept the change, you may terminate your use of Click to Pay. If you do not terminate your use of Click to Pay before such change takes effect, you will be deemed to have accepted the change notified.
10.3. Visa may, in its sole discretion, terminate, suspend and/or discontinue any or all aspects of these Terms or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it;
- where Visa decides to cease providing Click to Pay in Belgium;
- where the same or a similar solution is offered by your Issuer or such other Visa partner;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information and/or as indicated by Visa's fraud monitoring tools;
- where Visa's security systems observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.4. Visa shall provide you with reasonable prior notice by email for termination, discontinuance or suspension for any other circumstances."
- You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within 30 days of receiving the complaint, will clearly state what action was taken to address the complaint.
- In the event of out-of-court settlement of the dispute, the Consumentenombudsdienst of the Federal Government is authorised to receive any application for out-of-court settlement of consumer disputes. The latter, in turn, will either process the application itself or forward it to a qualified entity. You can reach out to the Consumentenombudsdienst via this link.
10.5. Any Section of these Terms that, by their nature, should survive termination shall so survive any termination of these Terms, including without limitation, Section 11.1."

(a) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:

We will notify you via email of any changes to these Terms a minimum of one (1) month in advance of such change taking effect. If you do not wish to accept the change, you may terminate your use of Click to Pay. If you do not terminate your use of Click to Pay before such change takes effect, you will be deemed to have accepted the change notified. To the fullest extent allowed by applicable law, your continued access and/or use of your Eligible Cards with Click to Pay after any modifications indicates your acceptance of the Terms as updated.
11.3. Notices. You agree that Visa may provide you with notices, disclosures and other communications in connection with these Terms by text message (SMS), email, posting on the Portal or other forms of electronic communications and that these electronic communications constitute communications "in writing". All electronic communications from us to you will be deemed received by you in accordance with the provisions of the Bulgarian Electronic Document and Electronic Trust Services Act and other applicable legislation. Unless required by applicable law, no paper (hard) copies will be provided. You are responsible for any message or data rates that may apply."
(b) If Visa is unable to resolve a complaint made by you, you may refer your complaint for alternative dispute resolution before the General Conciliation Commission to the Bulgarian Consumer Protection Commission (for more information please refer to the website of the Consumer Protection Commission).

The Parties confirm having requested and agreed that this Agreement and all related documents, including all notices and communications, be drawn up in the English language only. Les parties confirment avoir requis et consenti à ce que cette convention et tous les documents qui s'y rattachent, incluant tous les avis et communications, soient rédigés en langue anglaise seulement.

(a) Notwithstanding Section 10 (Termination and Modification), you or Visa may terminate these Terms by providing the other with notice of termination (obavijest o otkazu). The Terms will terminate upon the expiration of one (1) month from the date of delivery of the notice.
(b) You may choose to use Click to Pay on any device that can be used to perform an e-commerce transaction, and where the merchant you are interacting with supports Click to Pay.
(c) You may choose to verify your Click to Pay transaction on your personal device by using Passkeys where the device, platform, application and/or web browser supports Passkeys; you have enabled Passkeys on your device; and where Passkeys is made available to you by Visa.
(d) Any Visa credit, debit and reloadable prepaid card(s) that can be used for e-commerce purchases and is attributed to a single person may be used with Click to Pay. Where Visa acts as an SRC Initiator (i.e., where Visa handles the checkout or payment parts of an e-commerce site on behalf of a merchant) for other schemes (like Mastercard or American Express), cards from these schemes are also eligible for use within Click to Pay.
(e) Notwithstanding Section 11.4 (Assignment), you hereby provide explicit consent that Visa may transfer these Terms, and the rights and obligations hereunder, to any third party. Such transfer will be effective when you are notified about the transfer.
(f) You have the right to file a complaint to Visa regarding Click to Pay. Visa will promptly confirm the receipt of your complaint and, within fifteen (15) days of receiving the complaint, will clearly state what action has been taken to address the complaint.

(a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time.
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action has been taken to address the complaint. If Visa was unable to resolve your complaint, you may refer your complaint to Česká obchodní inspekce ("ČOI"). You may also contact ČOI in the Czech Republic by post at: Česká obchodní inspekce, Ústřední inspektorát – oddělení ADR, Štěpánská 44, 110 00 Praha 1, or email ČOI. More information can be found on ČOI's website.

You acknowledge that Click to Pay is available for use by you in only cross-border transactions with merchants outside of the Mainland China. Any merchants in Mainland China offering Click to Pay are authorised to do so for only non-residents of the Mainland China.

(a) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"10. TERMINATION AND MODIFICATION
10.1. Visa may, in its sole discretion, change, modify and/or make improvements to these Terms and/or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where it is necessary to comply with contractual or statutory obligations applicable to Visa including without limitation where a contractual partner, public authority, court, European Union court or institution imposes obligations on Visa that have an impact on the contents of these Terms and/or Click to Pay;
- where Visa decides to change the functionality or technical performance of Click to Pay for standard business purposes including without limitation introducing additional functionality, security and technical enhancements, bug fixes, enhancing resilience, improving the performance of Click to Pay, improving the user flow and the removal of certain features which no longer add value to consumers; and/or
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it.
10.2. Where the reason for modification is not set out in Section 10.1 above, Visa shall provide reasonable advance notice before the effective date of the given modification. If you do not agree to the modification of Click to Pay or these Terms, you are entitled to terminate the Terms or your use of Click to Pay at any time.
10.3. Visa may, in its sole discretion, terminate, suspend and/or discontinue any or all aspects of these Terms or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where it is necessary to comply with contractual or statutory obligations applicable to Visa including without limitation where a contractual partner, public authority, court, European Union court or institution imposes obligations on Visa that have an impact on the contents of these Terms and/or Click to Pay;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information and/or as indicated by Visa's fraud monitoring tools;
- where Visa's security systems observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.4. Where Visa terminates, suspends or discontinues Click to Pay and/or these Terms for any other reason not listed in Section 10.3 above, Visa shall provide reasonable advance notice before the effective date of such termination."
(b) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time.
(c) You may choose to use Click to Pay on any device that can be used to perform an e-commerce transaction, and where the merchant you are interacting with supports Click to Pay.
(d) You may choose to verify your Click to Pay transaction on your personal device by using Passkeys where the device, platform, application and/or web browser supports Passkeys; you have enabled Passkeys on your device; and where Passkeys is made available to you by Visa.
(e) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within 30 days of receiving the complaint, will clearly state what action was taken to address the complaint.
(f) Should Click to Pay fail to adhere to these Terms, you may rely on the legal remedies provided by law to the extent that you have not agreed to any lawful limitations on such remedies by entering into these Terms. You may submit a complaint to the Estonian Consumer Protection and Technical Regulatory Authority."

(a) YOU AGREE TO THESE TERMS. You agree to these Terms by expressly accepting them on a Visa or third-party application or website, for example as part of a merchant checkout process.
(b) Click to Pay may not be available to all Eligible Cards, and Visa may prevent Eligible Cards from being activated for Click to Pay.
(c) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"5. PRIVACY: Visa processes your personal information as necessary to permit you to enable, access and/or use Click to Pay with your Eligible Cards (as agreed in these Terms), and for compatible purposes described in the Visa Global Privacy Notice ("Privacy Notice"). The Privacy Notice may be updated from time to time.
If you enable Click to Pay for your Eligible Cards through the Portal or during checkout with some merchants, Visa uses Google's Maps product to help you select your address. To the extent that Google processes your personal information, it does this in accordance with its Google terms of service and Google privacy policy.
If you use other services operated by your Issuer, a merchant or any other third party (including where those services are available using Click to Pay), separate privacy notices may apply.
9. WARRANTIES AND LIABILITY:
- Notwithstanding the provisions set out in Section 9 (Warranties and Liability) or any other statements regarding the limitation of Visa's liability: Visa's contractual and statutory liability for damages caused by slight negligence shall, irrespective of its legal ground, be limited as follows: (i) Visa shall be liable up to the amount of the foreseeable damages typical for this type of contract due to a breach of material contractual obligations; and (ii) Visa shall not be liable due to a breach of any non-material contractual obligations and nor for the slightly negligent breach of any other applicable duty of care applicable.
- The aforesaid limitations of liability shall not apply to any mandatory statutory liability, in particular to liability under the German Product Liability Act (Produkthaftungsgesetz), and liability for culpably caused personal injuries. In addition, such limitations of liability shall not apply if and to the extent that Visa has assumed a specific guarantee. Sub-Sections (a)(i) and (a)(ii) above shall apply accordingly to Visa's liability for futile expenses. You shall be obliged to take adequate measures to avert and reduce damages.
10. TERMINATION AND MODIFICATION:
10.1. Click to Pay is available for an indefinite period of time until it is terminated by you or Visa at any time in accordance with the below.
10.2. You may terminate your complete or partial participation under these Terms or your use of Click to Pay at any time by unenrolling your Eligible Cards.
10.3. Visa may, in its sole discretion, make improvements to any or all aspects of Click to Pay. Visa may terminate the agreement constituted by these Terms regarding any or all aspects of Click to Pay by providing you with a minimum of fourteen (14) days' prior written notice via email. The right to extraordinary termination remains unaffected by this. Upon termination, you remain liable for all payments and other obligations you have incurred under these Terms.
11.2. Indemnity. This Section doesn't apply to you.
11.4. Assignment. Visa reserves the right to assign its rights; novate its obligations; or otherwise transfer its rights and/or obligations under these Terms to any Visa affiliate or any third party without notice to or consent from you."

(a) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
10. TERMINATION AND MODIFICATION
10.1. Visa may, in its sole discretion, change or modify these Terms and/or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control that make Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where a change benefits you including without limitation the introduction of additional functionality, security and technical enhancements, bug fixes, enhancing resilience, improving the performance of Click to Pay, improving the user flow and the removal of certain features that no longer add value to consumers; and/or
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it.
10.2. If the modifications contemplated above are disadvantageous for you, Visa shall inform you no less than eight (8) days before the effective date of the given modification. If you do not agree to the modification of these Terms, you are entitled to terminate the Terms or your use of Click to Pay at any time.
10.3. Visa may, in its sole discretion, terminate, suspend and/or discontinue any or all aspects of these Terms or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control that make Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it;
- where Visa decides to cease providing Click to Pay in Hungary;
- where the same or a similar solution is offered by your Issuer or such other Visa partner;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information and/or as indicated by Visa's fraud monitoring tools;
- where Visa's security systems observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.4. Where Visa terminates, suspends or discontinues Click to Pay and/or these Terms for any other reason not listed in Section 10.3 above, Visa shall provide reasonable advance notice before the effective date of such termination."
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within 30 days of receiving the complaint, will clearly state what action was taken to address the complaint.
(c) If you have any complaints about Click to Pay, you are entitled to submit it to the Budapest Conciliation Body at:
(d) You can also submit your complaint to the consumer protection authority having competence based on your home address in Hungary. If you do not have a home address in Hungary, the competent authority is the Budapest consumer protection authority:(e) The language of the contract based on these Terms shall be Hungarian.
(f) The contract based on these Terms cannot be considered a written contract.
(g) The text of these Terms marked with capital letters and/or marked by bold differ from the legal provisions and the standard contractual practices.
(h) By using Click to Pay, you accept these Terms.

for any other modification to the Terms and/or Click to Pay, Visa shall notify you of such change a minimum of one (1) month in advance of such change taking effect. If you do not wish to accept the change, you may terminate your use of Click to Pay. If you do not terminate your use of Click to Pay before such change takes effect, you will be deemed to have accepted the change notified."
(b) You may choose to use Click to Pay on any device that can be used to perform an e-commerce transaction, and where the merchant you are interacting with supports Click to Pay.
(c) You may choose to verify your Click to Pay transaction on your personal device by using Passkeys where the device, platform, application and/or web browser supports Passkeys; you have enabled Passkeys on your device; and where Passkeys is made available to you by Visa.
(d) You have the right to file a complaint with Visa regarding Click to Pay by using the contact information provided. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action was taken to address the complaint.

The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"5. PRIVACY. Visa processes your personal information as necessary to permit you to enable, access and/or use Eligible Cards with Click to Pay (as agreed in these Terms), and for related purposes described in the Japan Addendum ("Privacy Notice"). The Privacy Notice may be updated from time to time.(" Privacy Notice"). The Privacy Notice may be updated from time to time.
Your personal information, including Card Details stored or provided through use of Click to Pay, will be provided to the merchant inside and outside of Japan that have implemented Click to Pay, to the extent necessary for the provision of Click to Pay and when you use your Eligible Card at those merchants. At the time you agree to these Terms, it is not possible to specify the country or region to which your personal information may be transferred, as it is not yet determined at which merchants in which country or region you will use your Eligible Card. Furthermore, at the time you agree to these terms, it is not possible to identify the recipients of your personal data, as it is not yet determined at which merchants you may use your Eligible Card in the future. Therefore, we are unable to provide information about the security measures taken by those third-party recipients. However, Visa endeavors to ensure the security of your personal information by entering into data protection agreements with merchants.
9. WARRANTIES AND LIABILITY. Visa's services under these Terms are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties of any kind, including warranties of title, implied warranties of merchantability or fitness for a particular purpose. Visa and its affiliates are not liable for any damages arising from your use of our services, including but not limited to transaction failures, disputes with merchants, errors, outages or unauthorised access, except in cases of negligence by Visa or its affiliates. Visa's services may not be free of interruptions. Visa's cumulative liability to you under these Terms is limited to the lesser of your actual loss and US$100 (or equivalent in local currency), except in cases of wilful misconduct or gross negligence by Visa or its affiliates. Some jurisdictions may not allow certain limitations, so they may not apply to you; in such instances Visa's liability will be limited to the fullest extent permitted by applicable law. Visa's liability for death, personal injury, fraud or illegal matters is not excluded."

(d) Should Click to Pay fail to adhere to these Terms, you may rely on the legal remedies provided by law.
(e) If you are a consumer in Latvia you may bring a claim to the out-of-court Dispute Resolution Committee (Patērētāju ārpustiesas strīdu risināšanas komisija).

- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where it is necessary to comply with contractual or statutory obligations applicable to Visa including without limitation where a contractual partner, a public authority, court, European Union court or institution imposes obligations on Visa that have an impact on the contents of these Terms and/or Click to Pay;
- where Visa decides to change the functionality or technical performance of Click to Pay for standard business purposes including without limitation introducing additional functionality, security and technical enhancements, bug fixes, enhancing resilience, improving the performance of Click to Pay, improving the user flow and the removal of certain features which no longer add value to consumers;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it.
10.2. Where the reason for modification is not set out above, Visa shall provide reasonable advance notice before the effective date of the given modification. If you do not agree to the modification of Click to Pay or these Terms, you are entitled to terminate the Terms or your use of Click to Pay at any time.
10.3. Visa may, in its sole discretion, terminate, suspend and/or discontinue any or all aspects of these Terms or Click to Pay with or without notice to you in the following circumstances:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where it is necessary to comply with obligations applicable to Visa including without limitation where a public authority, court, European Union court or institution imposes obligations on Visa that have an impact on the contents of these Terms and/or Click to Pay;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it;
- where Visa decides to cease providing Click to Pay in Lithuania;
- where the same or a similar solution is offered by your Issuer or such other Visa partner;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information and/or as indicated by Visa's fraud monitoring tools;
- where Visa's security systems observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.4. Where Visa terminates, suspends or discontinues Click to Pay and/or these Terms for any other reason, Visa shall provide reasonable advance notice before the effective date of such termination, suspension or discontinuance."
(b) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law.
(c) You may choose to use Click to Pay on any device that can be used to perform an e-commerce transaction, and where the merchant you are interacting with supports Click to Pay.
(d) You may choose to verify your Click to Pay transaction on your personal device by using Passkeys where the device, platform, application and/or web browser supports Passkeys; you have enabled Passkeys on your device; and where Passkeys is made available to you by Visa.
(e) Should Click to Pay fail to adhere to these Terms, you may rely on the legal remedies provided by law to the extent that you have not agreed to any lawful limitations on such remedies by entering into these Terms. If you are a consumer in Lithuania you may bring a claim to the State Consumer Rights Protection Authority at:

- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it; and
- where Visa decides to cease providing Click to Pay or any part thereof in Malta.
10.2. Visa may, in its sole discretion, terminate, discontinue and/or suspend any or all aspects of Click to Pay and/or these Terms by providing you with a minimum of one (1) month's notice, unless there exists any serious ground for immediate termination, as outlined in the list below, in which case Visa may terminate without prior notice, namely:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where it is no longer economically viable for Visa to offer Click to Pay or certain functionality contained within it;
- where Visa decides to cease providing Click to Pay in Malta;
- where the same or a similar solution is offered by your Issuer or such other Visa partner;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information;
- where Visa's security systems observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening."
(b) Click to Pay is subject to and must, for the entire period that it is offered to you, comply with the requirements of conformity as set out in Directive (EU) 2019/770 and transposed into Maltese laws through the Digital Content and Digital Services Contracts Regulations (Subsidiary Legislation 378.20).

(a) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"IMPORTANT NOTICE ABOUT CLICK TO PAY AND YOUR VISA CARDS – PLEASE READ THIS CAREFULLY. Your Visa cards are enabled with Click to Pay either (i) as a standard feature of your Visa card made available to you and managed by your card issuer (Issuer-enabled Click to Pay); or (ii) directly through Visa (Visa-enabled Click to Pay).
- Issuer-enabled Click to Pay. Where your cards are enabled with Click to Pay as a standard card feature by your card issuer, these terms of service ("Terms") DO NOT APPLY to your access to and use of such cards in connection with Click to Pay and your acceptance of these Terms does not create any agreement of any kind between you and Visa; and (ii) such access and/or use is governed solely by your issuer's terms and conditions. IMPORTANT NOTE: If you nevertheless provide information to Visa to register these Visa cards, Visa will share that information with your Visa card issuer(s) to facilitate Issuer-enabled Click to Pay.
- Visa-enabled Click to Pay. Where your Visa cards are enabled with Click to Pay through Visa, these Terms DO APPLY and form a legally binding and enforceable agreement between you and Visa – please read them carefully. For the avoidance of doubt, if your card issuer subsequently enables Click to Pay as a standard card feature and you enrol into that Issuer-enabled Click to Pay, it means that Visa-enabled Click to Pay is no longer relevant, and Visa will no longer be providing Click to Pay in relation to the relevant Eligible Cards anymore. In such case, Visa will notify you thereof and either: (i) ask for your consent for the assignment of these Terms to the relevant issuer; or (ii) terminate these Terms in accordance with Section 10 below. If you are a resident of an Eligible Jurisdiction identified in Section 12, the jurisdiction-specific provisions stated in that Section additionally apply to you.
YOU DEMONSTRATE YOUR ACCEPTANCE OF THESE TERMS: (i) by affirmatively accepting them on a Visa or third-party application or website, for example, as part of a merchant checkout flow; (ii) by accessing or using your Eligible Card(s) in connection with Click to Pay; or (iii) to the extent permissible under applicable law, in accordance with acceptance methods prescribed by Visa. By accepting these Terms as described in the preceding sentence, you acknowledge that you understand and agree to all of these Terms. You acknowledge and agree that these Terms govern your access to or use of your Eligible Card(s) in connection with Click to Pay. These Terms replace all prior terms you may have agreed to in respect of such access and use. These Terms are effective as of the time of your acceptance of these Terms in accordance with the acceptance method prescribed by Visa until such access and/or use is terminated in accordance with these Terms. Your Eligible Cards are enabled for Click to Pay free of charge. Capitalised words used in these Terms are defined in these Terms.
1. HOW IT WORKS. You agree to the following process taking place: for Eligible Cards, Visa stores your Card Details and may replace your payment account number and other sensitive information with a unique identifier (a token) to help secure and protect them. Your Card Details (usually in the form of a token) are transmitted to merchants, digital wallets, payment networks/schemes and/or applicable third parties to allow them to display your list of Eligible Cards to you ("Card List") and process your transaction on an Eligible Card you select. You understand that your transaction will be paid for using the Eligible Card that you have selected. You understand that Visa may perform certain validation checks on your Card Details when providing Click to Pay. "Card Details" means the payment account and other related information such as your name, email address, mobile phone number, and billing and delivery addresses for Eligible Cards. You understand that the Card Details stored or provided through use of Click to Pay contains personal financial information, and that Visa is not responsible for the accuracy of Card Details or the other information you provide, including whether Card Details are current and up-to-date.
2. ELIGIBLE CARDS. Visa may automatically update your Card List at any time. To help keep your Card List and Card Details up-to-date, Visa may also update certain Card Details, such as payment account number and expiry date, when this information becomes available to Visa through the financial institution, or as applicable, payment institution, that issued your Eligible Card ("Issuer"). You may modify which of your Eligible Cards are enabled with Click to Pay through the Portal at any time. "Eligible Cards" means any Visa credit, debit and reloadable prepaid cards, as well as other cards or payment methods, that Visa deems eligible for use with Click to Pay. Visa may revise the eligibility criteria at any time and may remove cards from eligibility or prevent their enablement as deemed necessary. For the avoidance of doubt, this means that Click to Pay may not be available to all Eligible Cards and Visa may, in its sole discretion: (i) remove Eligible Cards from Click to Pay; (ii) prevent Eligible Cards from being activated for Click to Pay; and/or (ii) suspend or terminate your use of Click to Pay. As regards any suspension or termination, Visa will issue you a notice thereof, citing the reasons therefor. "Portal" means the website, mobile site, domain, subdomain and/or web-based platform provided by Visa to offer information and management tools to holders of Eligible Cards.
3. ELIGIBLE CARDHOLDERS. Click to Pay is subject to cardholder eligibility, you may only access or use Visa's Click to Pay if you are the cardholder or authorised user of the Eligible Card(s) and a resident of a jurisdiction specified in the Eligible Jurisdiction List (each jurisdiction listed being an "Eligible Jurisdiction"). Within the Eligible Jurisdiction List, each Eligible Jurisdiction is assigned to a "Visa Region". Access to or use of your Eligible Cards in connection with Click to Pay from any location where it is illegal or otherwise restricted is prohibited.
4. VERIFICATION. When you enable, access and/or use an Eligible Card, you may be required to provide your valid email address and/or mobile phone number. You agree Visa may send a one-time passcode (OTP) to your email and/or mobile phone number to verify your identity and that the Portal account, device and/or browser being used to access and/or use your Eligible Cards with Click to Pay belongs to you.
Visa may use information about the devices you use to access your Eligible Cards in connection with Click to Pay to verify you and create a trusted link between those devices and your Eligible Cards. You may also choose to use capabilities on your personal device such as fingerprints, face authentication and/or your device passcode ("Passkeys") to access or use your Eligible Cards in connection with Click to Pay. Your use of Passkeys is governed by the terms and conditions and privacy notices of your device manufacturer. Your fingerprints, face authentication data and/or device passcode do not leave your device. You may choose whether to use Passkeys in connection with your Eligible Cards and Click to Pay, and you may disable such use by unlinking your Eligible Card or removing your device through the Portal or such other website as made available and communicated by Visa. Your use of Visa Payment Passkeys in connection with your Eligible Cards and Click to Pay will be made available as part of, and governed by separate Visa Payment Passkeys terms and conditions.
If you use Passkeys or choose to be remembered on your device or browser, you are solely responsible for maintaining the security of such devices or browsers, except in instances where Visa is responsible pursuant to the Civil Code. Except where Visa is responsible pursuant to the Civil Code, Visa is not responsible to any person for any unauthorised use of your Eligible Card, Click to Pay, Portal account, devices or browsers.
6. TRANSACTIONS MADE USING CLICK TO PAY. Visa is not a bank or a card issuer. Payment for your bank account or bank card is solely between you and the Issuer. Except where Visa is responsible pursuant to the Civil Code, Visa does not endorse or sponsor and is not responsible for: (i) the goods or services purchased or transactions made in connection with Click to Pay; (ii) honoring or fulfilling goods or services purchased or transactions made using Click to Pay; or (iii) the merchants whose goods or services may be purchased or with whom a transaction is made using Click to Pay. Visa is not a party to the transactions made using Click to Pay. Unless in circumstances where Visa is responsible pursuant to the Civil Code, if you have a dispute with a merchant or your Issuer about a transaction made using Click to Pay, including the purchase, return or non-receipt of goods or services, you are solely responsible for settling the dispute with the merchant or your Issuer. Unless caused by circumstances for which Visa is responsible pursuant to the Civil Code, Visa is not responsible for any such transactions or any actions or inactions of merchants, Issuers, other payment networks/schemes, or third parties that may facilitate your checkout experience. Visa may resolve issues connected with your use and/or the functioning of Click to Pay, but not with transactions between you and a merchant or applicable third party.
8. PROPRIETARY RIGHTS. All content, features and functionality provided by Visa under these Terms, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software and any other materials (collectively referred to as "Content"), are the property of Visa, its affiliates, and their licensors. No licences, rights, title or interest in or to the Content is/are granted to you. If you submit suggestions or other feedback about Click to Pay or other products or solutions, we may use your suggestions or feedback without obligation to you. The Click to Pay icon () is a trademark owned by and used with permission of EMVCo, LLC. For the avoidance of doubt, this paragraph does not relate to consumer complaints.
9. WARRANTIES AND LIABILITY. Visa shall be liable for non-performance or improper performance of these Terms, unless the non-performance or improper performance is a consequence of circumstances for which Visa is not responsible pursuant to Article 471 of the Civil Code. This applies to: (i) your use of or inability to use Click to Pay for any reason, including refusal by your Issuer to authorise, or a merchant to accept, a transaction; (ii) any goods, services or information purchased or received in connection with Click to Pay, including your failure to receive or inability to return such goods, services or information; (iii) disputes between you and a merchant; (iv) any inaccuracy, incompleteness or misinformation contained in any information provided by your Issuer or any other third parties through Click to Pay; (v) unauthorised access to, or alteration or loss of, your transmissions, data or other information that is collected, stored or sent in connection with Click to Pay; (vi) Click to Pay errors or outages; or (vii) any other use by you of Click to Pay. In addition, Visa shall not be liable for any failure to perform any obligations contained in these Terms due to a force majeure event. Subject to the remainder of this Section or application of the Civil Code, Visa's services under these Terms are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties of any kind, including warranties of title, implied warranties of merchantability or fitness for a particular purpose. Subject to the remainder of this Section or application of the Civil Code, Visa's cumulative liability to you under these Terms is limited to the lesser of your actual loss and $100 USD (or equivalent in your local currency). Subject to the remainder of this Section or application of the Civil Code, nothing in these Terms excludes or limits liability for death, personal injury, fraud or any other matter that cannot be legally limited or excluded. Nothing in these Terms excludes the Visa's liability for any events for which Visa is liable in accordance with the Civil Code.
10. TERMINATION AND MODIFICATION
10.1. You may terminate your complete or partial participation under these Terms at any time by unenrolling your Eligible Cards through the Portal.
10.2. Visa may, in the following circumstances, terminate, discontinue and/or suspend any or all aspects of Click to Pay and/or these Terms by providing you with a minimum of 30 days' notice, citing the reason therefor:
- where Visa decides to cease providing Click to Pay in Poland;
- as required to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner; and/or
- in the case of unauthorised use or disclosure of your authentication details and/or Eligible Card in Click to Pay;
- due to reasons beyond Visa's control that make Visa unable to provide Click to Pay.
10.3. Subject to Section 10.4 below, Visa may, in the following circumstances, amend these Terms and/or Click to Pay by providing you with a minimum of 30 days' notice, citing the reason therefor:
- a change in applicable law which results in an obligation to change these Terms or Click to Pay;
- a public authority, court or other institution imposes obligations on Visa which have a direct impact on the content of these Terms (this circumstance cannot be applied to changes which would impose a change to these Terms which would be unfair for consumers in Poland under Article 385(1) § 1 of the Act of 23 April 1964 and/or the Civil Code);
- to introduce new, additional functionality to Click to Pay;
- to make technical enhancements to the functioning of Click to Pay; and/or
- to introduce security enhancements, including new personal data protections.
10.4. When amending the Terms in accordance with Section 10.3 above, Visa may only add, delete or amend the relevant Section of the Terms in connection with the reason that served as the basis for change, and only to the extent necessary to action the proposed change. If you disagree with any proposed amendment, you may terminate your use of Click to Pay at any time. Notwithstanding the previous sentence, Visa may amend these Terms or any aspect of Click to Pay, temporarily or permanently, with your express consent by providing you with a minimum of thirty (30) days' prior notice; such notice shall indicate the scope of the proposed amendment, the date of their implementation and request that you to agree to them. If you do not agree to such changes and/or modifications, Visa will terminate your use Click to Pay.
10.5. Upon termination, you remain liable for all payments and other obligations you have incurred under these Terms.
10.6. Any Section of these Terms that, by their nature, should survive termination shall so survive any termination of these Terms, including without limitation, Section 11.1.
11.2. Indemnity. This Section doesn't apply to you.
11.3. Notices. You agree that Visa may provide you with notices, disclosures and other communications in connection with these Terms by text message (SMS), email, posting on the Portal or other forms of electronic communications. All information required by law to be provided on a durable medium will be provided as such.
11.4. Assignment. You may not assign your rights, novate your obligations or otherwise transfer your rights and/or obligations under these Terms, by operation of law or otherwise, without Visa's prior written consent. In the event of an assignment of these Terms and the rights and obligations hereunder by Visa to a third party, Visa will provide no less than fourteen (14) days' notice. Failure to obtain express consent from you within this period will result in Visa's termination of these Terms."
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will promptly, but not later than two (2) days thereafter, confirm receipt of your complaint and, within fourteen (14) days therefrom, respond to your complaint in writing or by email and clearly state what action has been taken to address the complaint.

(a) The following provisions shall apply to you instead of the respectively numbered Sections above, and in the event of a conflict, these provisions shall prevail:
"9. WARRANTIES AND LIABILITY. Visa's services under these Terms are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties of any kind, including warranties of title, implied warranties of merchantability or fitness for a particular purpose. Visa is not liable for any damages arising from your use of our services, including but not limited to transaction failures, disputes with merchants, errors, outages or unauthorised access. Visa's services may not be free of interruptions. Visa's cumulative liability to you under these Terms is limited to the lesser of your actual loss and $100 USD (or equivalent in your local currency). Nothing in these Terms excludes or limits liability for death, personal injury, fraud or any other matter that cannot be legally limited or excluded. The law of your Eligible Jurisdiction may not allow the limitation or exclusion of liability described in this Section, so they may not apply to you. In such instances, Visa's liability will be limited to the fullest extent permitted by the law of your Eligible Jurisdiction. This Section does not purport to impose a general exclusion or limitation of Visa's liability for all damages, clauses or losses incurred. Visa's liability shall not be excluded or limited, directly or indirectly, in respect of: (i) damage caused to the life, moral or physical integrity or health of individuals; (ii) non-contractual property damage; (iii) definitive non-fulfilment, delay or defective fulfilment by Visa, in the event of wilful misconduct or serious fault; (iv) acts of representatives or assistants, in the event of wilful misconduct or serious fault; or (v) wilful default.
10.2. Visa may, in its sole discretion, terminate, discontinue and/or suspend any or all aspects of Click to Pay and/or these Terms by providing you with a minimum of fourteen (14) days' notice, unless there exists any serious ground for immediate termination, as outlined in the list below, in which case Visa may terminate without prior notice, namely:
- due to reasons beyond Visa's control which makes Visa unable to provide Click to Pay or any part thereof;
- to comply with a change in applicable law;
- where a public authority, court, European Union court or institution imposes obligations on Visa that have a direct impact on the contents of these Terms and/or Click to Pay;
- where it is no longer economically viable for Visa to offer Click to Pay;
- where Visa decides to cease providing Click to Pay in Portugal;
- where you breach the Terms;
- in order to streamline your Click to Pay experience as provided by your Issuer or another Click to Pay partner;
- where Visa suspects fraud or illegal, unauthorised or improper conduct including without limitation where you provide Visa with incomplete, inaccurate or untrue information;
- where Visa's security tools observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.3. Visa may update these Terms at any time by posting a new version on the Portal, which will take effect immediately or, if applicable, after providing what we consider reasonable notice or as otherwise required by applicable law. Visa will notify you via email of any material changes to these Terms a minimum of one (1) month in advance of such change taking effect. If you do not wish to accept the change, you may terminate your use of Click to Pay. If you do not terminate your use of Click to Pay before such change takes effect, you will be deemed to have accepted the change notified. To the fullest extent allowed by applicable law, your continued access and/or use of your Eligible Cards with Click to Pay after any update indicates your acceptance of the Terms as updated.
11.2. Indemnity. This Section doesn't apply to you.
11.4. Assignment. You may not assign your rights, novate your obligations or otherwise transfer your rights and/or obligations under these Terms, by operation of law or otherwise, without Visa's prior written consent. In the event of an assignment of these Terms and the rights and obligations hereunder by Visa to a third party, Visa will provide no less than fourteen (14) days' notice. Failure to obtain express consent from you within this period will result in Visa's termination of these Terms."
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within 30 days of receiving the complaint, will clearly state what action was taken to address the complaint.
(c) In the event of an unresolved consumer dispute regarding Click to Pay, you may refer the matter to an independent alternative dispute resolution entity. Visa is not affiliated with a specific body in Portugal. You can also find a full list of officially authorised consumer alternative dispute resolution entities through the DIREÇÃO-GERAL DO CONSUMIDOR.

(a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law.
(b) You may choose to use Click to Pay on any device that can be used to perform an e-commerce transaction, and where the merchant you are interacting with supports Click to Pay.
(c) You may choose to verify your Click to Pay transaction on your personal device by using Passkeys where the device, platform, application and/or web browser supports Passkeys; you have enabled Passkeys on your device; and where Passkeys is made available to you by Visa.
(d) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action has been taken to address the complaint.

(a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law, which can be used at any time and in the same manner as specified in Section 10 (Termination and Modification).
(b) The entirety of Section 9 (Warranties and Liability) shall apply only to the fullest extent permissible under applicable law.
(c) Notwithstanding the provisions of Sections 10.2 and 10.3, where Visa decides to terminate, change, modify, suspend, enhance or discontinue Click to Pay, Visa will give you reasonable prior notice of its intention to do so.
(d) By continuing to use or participate in Click to Pay, you expressly acknowledge and agree that you have fully read and understood and that you agree to all of the provisions of the Terms, including without limitation the following: the preamble to these Terms, in particular: those paragraphs starting with the words "IMPORTANT NOTICE ABOUT CLICK TO PAY AND YOUR VISA CARDS" and "YOU DEMONSTRATE YOUR ACCEPTANCE BY"; Section 1 (How it Works); 2 (Eligible Cards); 3 (Eligible Cardholders); 4 (Verification); 5 (Privacy); 6 (Transactions made with Click to Pay); 7 (Cardholder Agreements); 8 (Proprietary Rights); 9 (Warranties and Liability); 10 (Termination and Modification); 11.1 (Visa Contracting Entity; Governing Law; Dispute Resolution); 11.2 (Indemnity); and 11.3 (Notices).

(a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law.
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle your complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action has been taken to address the complaint. (a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law.
(b) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle your complaint confidentially. Visa seeks to resolve disputes amicably. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action has been taken to address the complaint. Visa does not acknowledge any entity as qualified to settle consumer disputes out-of-court that a consumer might initiate under the Act on Out-of-Court Settlement of Consumer Disputes (Zakon o izvensodnem reševanju potrošniških sporov).
(c) Notwithstanding Section 11.4, you hereby provide explicit consent that Visa may transfer these Terms, and the rights and obligations hereunder, to any third party. Such transfer will be effective when you are notified about the transfer.

(a) Click to Pay is available for an indefinite period of time until it is terminated by you or Visa, and it can be terminated at any time in accordance with Section 10 (Termination and Modification), which includes your withdrawal rights under applicable law.

- where Visa's security tools observe suspicious behaviour on your Click to Pay account; and/or
- as a result of sanctions screening.
10.3. Visa may update these Terms at any time by posting a new version on the Portal, which will take effect immediately or, if applicable, after providing what we consider reasonable notice or as otherwise required by applicable law. (b) Nothing in these Terms, including Section 9 (Warranties and Liability), shall exclude or limit any rights or remedies you have as a consumer under applicable law. These Terms do not purport to undermine or override your statutory rights.
(c) You have the right to file a complaint to Visa regarding Click to Pay. Visa will handle the complaint confidentially. Visa will promptly confirm the receipt of your complaint and, within thirty (30) days of receiving the complaint, will clearly state what action has been taken to address the complaint.
